Crimson Investment Properties LLP & associate businesses (herein after referred to as ‘Crimson /
associated businesses’)
|
|
The Purchaser (you) and ‘you’ refers to the person who has received information from us and our websites.
|
|
By registering or requesting or accepting property details offered by Crimson / associated businesses
you confirm your acceptance and agree to be bound by our terms and conditions as stated.
|
|
If you have any queries or questions about any of these terms please contact us for clarification
before proceeding with any property opportunity offered by Crimson / associated businesses.
|
|
Crimson / associated businesses reserve the right to amend or change these terms and conditions at any
time without prior notice. Up to date terms and conditions will be supplied with every property
opportunity offered for sale.
|
Registration
To register with Crimson / associated businesses and receive details of property opportunities you must
be:- over the age of 18 years, not be bankrupt or subject to a voluntary arrangement with your
creditors, have a clean credit rating, able to obtain mortgage funding or other sources of funds suitable
for purchasing property, not have any criminal convictions that may prohibit you from purchasing property
or have a detrimental effect on Crimson / associated businesses and or our good name.

The purchaser having contacted Crimson / associated businesses accept that we may hold ‘personal data’
(as defined by the Data Protection Act 1998) on computer and or in manual form. You agree that all ‘
personal data’ submitted is true and accurate. Crimson / associated businesses accept no responsibility
or liability for loss of earnings, revenue or money paid out in connection with a property opportunity in
the event that ‘personal data’ proved to be inaccurate, wrong, or misleading and is the direct or
indirect cause of a property opportunity not proceeding.

Intellectual Property
The contents of the Crimson / associated businesses websites and all materials presented by us are
protected by copyright and trade marks all of which belong to us or our associate companies. We grant
no right to you to use display or reproduce any or part of any of our trade marks, names or logo’s. You
must not infer imply or pass yourself off as a representative, agent, employee, or licensee of
Crimson / associated businesses.

Services provided by Crimson / associated businesses to you
Crimson / associated businesses will provide you from time to time with details of “Property
Opportunities” that are offered for sale.
|
|
The property opportunities are offered on a first come first served basis. A property opportunity is
not reserved and still remains available until both the finders fee and Crimson / associated
businesses fee are received in full.
|
|
Crimson / associated businesses will notify you of the address and details of the property.
|
|
Crimson / associated businesses have agreed a purchase price with the seller of the property and a deal
has been agreed and a legally binding agreement is in place.
|
|
Crimson / associated businesses will disclose the “investor discounted price” of the property to
the purchaser (you) and the amount of the contribution payable for the property opportunity.
|
|
Crimson / associated businesses will notify the purchaser (you), prior to the purchase, of any sell and
rent back arrangements following completion of the purchase. This will including but is not limited
to tenancy agreements, rent and any minimum terms, rent free periods, payment plans or buy back options.
The purchaser (you) will agree to honour all of these terms following completion. In the event that
the purchaser (you) decides to sell the property whilst any contractual agreements are still in place
with the tenant, you will extend these agreements on to your new purchaser in a legally binding
contract. Failure to honour any such terms may cause harm or damage to the name of Crimson /
associated businesses or its associates and may lead to the purchaser (you) having to pay damages to
Crimson / associated businesses.

|
Crimson / associated businesses may arrange for nominated professionals to act on your behalf. Please
note that these nominated professional are independent of Crimson / associated businesses.
|
|
Crimson / associated businesses reserves the right to withdraw any property opportunity that has not yet
been reserved at any time and for any reason. Reasons for withdrawing a property opportunity may not
be disclosed.
|
|
Crimson / associated businesses will accept no responsibility for any property deal that fails to
complete due to your lack or communication or your failure to meet timescales set out in the deal.
|
|
Crimson / associated businesses do not provide advice. All information provided by Crimson /
associated businesses in any format is given as an opinion only.
|
Your Obligation to Crimson / associated businesses
You do not have to purchase any of the property opportunities made available.
|
|
You must carry out your own checks and due diligence and satisfy yourselves that you wish to proceed with
the purchase of each property.
|
|
If you wish to purchase a property opportunity you must contact us by telephone advising us of
your intentions. You will then be required to sign and return a completed reservation form, pay by
bank transfer the finders fee and the Crimson fee if applicable and confirm how you intend to fund
the purchase.
|
|
You will not attempt to re-negotiate any aspect of the deal with either Crimson / associated businesses
or the vendor of the property.
|
|
You agree not to circumvent a situation, or to use or pass on information relating to the purchase of
a property, which is intended to exclude or disadvantage Crimson / associated businesses from purchasing
the property on the terms agreed with the vendor. Or to attempt to negotiate either on your own behalf
or with others a separate or side deal or change the terms of the deals to the detriment of
Crimson / associated businesses or the vendor without the express written agreement of Crimson /
associated businesses.

|
The Purchaser will under no circumstances contact the vendor or their agents unless instructed to do so
by Crimson / associated businesses.
|
|
You will not cause any delay in the completion of the purchase unless the delay is on reasonable grounds.
The completion is usually a matter of urgency and often the reason for the property being offered at
a discounted price. You will meet all timescales already agreed with the vendor and or the vendors lender
and or any other third party who has an interest in the sale of the property. You must confirm that you
have sufficient funding in place to complete the purchase in the timescales set out in the deal. No refund
of any kind will be given for monies paid out by the purchaser (you) if the property opportunity is
withdrawn from sale by any of the vendors creditors as a direct result of the purchaser (you) failing
to complete the purchase in the time scale set out in the deal.

You will notify Crimson / associated businesses immediately both by telephone and in writing if you wish
to withdraw from the purchase of a property you have agreed to purchase. You will also pay immediately
all outstanding fees due to Crimson / associated businesses or its associates. You are also responsible
for paying any other fees you may have elected to incur in relation to this deal.

|
You agree to act in a legally honest manner and comply with all legal requests, data protection and
disclosure requirements.
|
|
You agree to maintain high standards of honesty and integrity when dealing with Crimson /
associated businesses, its associates, property sellers and vendors.
|
|
You agree to respond to all communications either from Crimson / associated businesses or any party
related to a property purchase by return post. If you away for any period of time whilst you are engaged in
a property purchase you agree to keep Crimson / associated businesses informed of your contact details.
|
|
You agree to be contactable throughout the purchasing process of each property and make every effort
to provide information requested by the due dates to enable the purchase to proceed unhindered.
You understand that failure to meet any due date set out in the contract may result in the vendor
withdrawing the property or terminating the contract and the loss of the finders fee and the
Crimson / associated businesses fee, either paid or due to be paid.

Fees Payable
The purchaser (you) will pay to Crimson / associated businesses the finders fee and Crimson /
associated businesses fee in full at the point of reservation (by bank transfer or other method agreed
with Crimson / associated businesses). Until such fees are received in full Crimson / associated
businesses will consider the property opportunity available and will continue to advertise it for sale.
In the event that the purchase of the property does not complete for reasons outside your control (such
as the seller withdrawing the property) Crimson / associated businesses will refund any monies paid by
the purchaser at that point minus any costs incurred. Failure of the purchaser to secure funding by the
dead line required to complete the purchaser is not deemed outside your control and in such instances
no refund will be given.

The purchaser accepts that they are risking the sum of money equivalent to the closing costs and
finders fee when engaging in the purchase of a property opportunity, such is the normal risks
associated with purchasing properties.
|
|
You will pay all your professional fees unless advised to the contrary in writing by Crimson /
associated businesses that such fees are either being paid by Crimson / associated businesses or other
third party.
|
|
You are liable to pay stamp duty and all other such fees relating to the purchase of a property.
|
|
You will be liable for any incidental fees arising as a consequence of the purchase of the property.
Details of such fees, where possible, will be included in the relevant appraisal sheet.
|
|
You are liable to pay all cost associated with the ownership of a property after the purchase completes.
|
|
You are responsible for securing your own funding to purchase a property. Crimson / associated businesses
may nominate professionals to assist you and in these circumstances you will be responsible for
supplying all necessary information requested by such professionals in order to progress the purchase
and secure the funding and pay all costs associated with obtaining the funding.
|
Confidentiality
You agree not to assign, or transfer, any property opportunity to any other person once you have
requested details relating to the property and or once you have engaged in the purchase of the property.
|
|
You will not disclose any information relating to any property opportunity to any other person unless
consent has been given in writing by Crimson / associated businesses or if it is required by a
law enforcement authority.
|
|
You will not allow or authorise any other person to complete on a property you have either
requested information on, or engaged in the purchase of, without written permission from Crimson /
associated businesses. Breech of this point will result in the loss of earnings by Crimson /
associated businesses being due and payable by you.
|
Miscellaneous
Notice is hereby given that these property particulars, although believed to be correct, do not form part
of an offer or a contract. Neither the vendor or Crimson / associated businesses nor any person in
their employment make representation or warranty whatsoever in relation to the property. Whilst we
endeavour to ensure the above details are correct we “the agents” can not be held liable for any errors
or admissions in the particulars and purchasers are advised to do their own verifications.

|
Neither Crimson / associated businesses or any of its partners, directors, employees or representatives
will be liable for any damages of any kind arising out of, or in connection with, the use of any
information, recommendations or advice provided. The information, its contents and subsidiary elements
are provided in good faith with no representations or warranties of any kind given. This is a
comprehensive limitation of liability that applies to all damages of any kind including compensatory,
direct or consequential damages, loss of profit or income, loss or damage to property and claims of
third parties.

Please note, that property values may go down as well as up, and that voids can occur between
letting periods. You are advised to make your own checks and verifications in respect of all
properties offered and give adequate consideration to how you will pay for any financial short falls.
|
|
All disputes with Crimson / associated businesses will be governed by and in accordance with English law
and subject to the jurisdiction of the English court.
